Vendor Agreement
These terms govern your use of our website and services:
This Vendor Agreement (“Agreement”) is entered into by and between:
MRSAM, a platform operated by MRSAM INDIA PVT LTD, a private limited company incorporated under the Companies Act, 2013, with its registered office at Unit # 812, 8th Floor, Excellencia Lodha Supremus-1 Rd No. 22, Wagle Estate, Mumbai, Thane – 400604, hereinafter referred to as the “Platform”,
AND
The Vendor whose details are provided during the registration process, hereinafter referred to as the “Vendor”.
Collectively referred to as “Parties” and individually as “Party”.
1. DEFINITIONS
- Platform: The online multivendor marketplace hosted at www.mrsam.in providing pet-related products and services.
- Vendor: Any individual, business, or entity registered to sell products or offer services on the Platform.
- Customer: Any person who purchases or avails of goods/services through the Platform.
2. SCOPE AND PURPOSE
This Agreement governs the terms under which the Vendor lists, promotes, sells, and delivers products and/or services on the Platform.
3. COMPLIANCE WITH PLATFORM POLICIES
The Vendor agrees to:
- Adhere to all policies, guidelines, and SOPs shared by the Platform.
- Ensure all listed products/services are genuine, pet-safe, and legal under Indian law.
- Maintain timely order fulfillment, delivery, and responsive customer support.
- Comply with return, refund, and cancellation policies of the Platform.
4. PRODUCT & SERVICE STANDARDS
The Vendor warrants that:
- Products are accurately described, new (unless otherwise stated), and conform to applicable pet safety standards.
- Services (e.g., training, grooming, consultation) are performed by qualified professionals.
- Expiry dates, batch numbers, and origin of products must be clearly declared where applicable.
- No counterfeit, illegal, expired, or restricted items will be listed.
5. AUTHORIZATION TO DISPLAY INFORMATION
The Vendor authorizes the Platform to:
- Display Vendor’s business name, logo, products/services, and other relevant content.
- Use product images, descriptions, and pricing information for marketing or SEO purposes.
- Showcase Vendor listings on external marketing channels (Google, social media, etc.) unless opted out in writing.
6. COMMISSION & PAYMENT TERMS
- The Platform shall charge a commission of ___% per successful transaction.
- Payment to Vendor shall be processed every [week/15 days/month] to their registered bank account, subject to:
- Deduction of Platform commission
- Applicable GST (Vendor must submit valid GSTIN)
- TDS as per the Income Tax Act, 1961
- A monthly invoice statement shall be issued for transparency.
7. RETURNS, REFUNDS & CANCELLATIONS
The Vendor agrees to:
- Accept returns as per Platform policy (within 7/10/15 days depending on product category).
- Bear return shipping costs for defective/wrong deliveries.
- Handle service cancellations with a minimum 24-hour notice.
- Ensure prompt refunds where applicable, processed through the Platform gateway.
8. CUSTOMER DATA & CONFIDENTIALITY
- The Vendor shall use customer information only for the purpose of fulfilling orders.
- The Vendor shall not store, share, sell, or misuse any customer data obtained through the Platform.
- All Platform operational, technical, and business data shall be kept confidential.
9. TERMINATION
The Platform may suspend or terminate this Agreement with immediate effect upon:
- Breach of any clause of this Agreement or Platform policies
- Repeated customer complaints or poor ratings
- Listing of prohibited or illegal items
- Vendor’s inactivity exceeding [X] days/months
The Vendor may terminate this Agreement with 15 days’ prior written notice.
10. LIMITATION OF LIABILITY
The Platform acts solely as a facilitator. Liability for product defects, delayed services, or damages rests with the Vendor. The Platform shall not be held liable for indirect, incidental, or consequential damages.
11. INDEMNITY
The Vendor shall indemnify and hold harmless the Platform, its owners, employees, and affiliates from any claims, losses, or damages arising from:
- Product or service defects
- Non-compliance with Indian laws
- Customer disputes or third-party claims
12. FORCE MAJEURE
Neither Party shall be liable for any failure or delay caused by events beyond reasonable control, including but not limited to natural disasters, acts of God, government restrictions, strikes, pandemics, or cyberattacks.
13. DISPUTE RESOLUTION
- In case of disputes, Parties shall attempt amicable resolution within 15 days.
- If unresolved, the matter shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.
- Arbitration shall be conducted in [City], India in English, by a sole arbitrator appointed mutually.
14. JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of India. The courts of Thane, Maharastra shall have exclusive jurisdiction.
15. ENTIRE AGREEMENT
This Agreement, along with any annexures or Platform policies, constitutes the entire understanding between the Parties and supersedes all prior agreements.
IN WITNESS WHEREOF, the Parties have agreed to the above terms electronically at the time of Vendor registration on the Platform.
